uStudio Labs – Terms of Service

These terms govern your use of uStudio Labs, the early access program from uStudio, Inc. (“uStudio”) for prototypes and pre-release features (“Labs Offerings”). By using any Labs Offering, you agree to these terms. If you have a separate agreement with uStudio, that agreement continues to govern uStudio’s standard products – but it does not apply to Labs. Labs Offerings are governed solely by these terms, and no SLAs, warranties, support commitments, or service credits from any other uStudio agreement extend to Labs Offerings.

1. Labs Offerings Are Prototypes

All Labs Offerings are experimental and under active development. Features may change, be added, or be removed at any time without notice, and uStudio may discontinue any Labs Offering at any time. Participation does not entitle you to any future product, feature, or roadmap commitment. Labs Offerings are intended for exploration, testing, and feedback – not for business-critical or production workflows – and you assume all risk of using them otherwise.

2. Participation

Participation in uStudio Labs is optional and subject to uStudio’s approval. You may stop participating at any time, and uStudio may suspend or end your access at any time. uStudio grants you a limited, revocable, non-transferable license to use Labs Offerings for your internal evaluation and feedback purposes only. You may not resell Labs Offerings, provide access to third parties, reverse engineer them, or use them to build a competing product.

3. Feedback

Feedback is the heart of Labs. If you share suggestions, ideas, or other feedback about a Labs Offering, uStudio may use it freely for any purpose – including building it into products – without restriction or compensation to you.

4. Confidentiality

Non-public information about Labs Offerings (features, performance, roadmap details) is uStudio’s confidential information and is subject to non-disclosure. You agree not to disclose it outside your organization without uStudio’s written permission.

5. Your Data

You own the data you submit to Labs Offerings. You grant uStudio the right to process it to provide and improve Labs Offerings and uStudio products. Because Labs Offerings are still evolving, data handling and retention practices may differ from those of uStudio’s generally available products. uStudio may delete data from a Labs Offering at any time, including when it ends.

6. No Fees, No Support, No SLA

Labs Offerings are provided at no charge unless otherwise agreed. They come with no support obligations, no uptime commitments, and no service level agreements. Any SLAs, warranties, or service credits in your other uStudio agreements do not apply to Labs Offerings.

7. Disclaimers and Liability

LABS OFFERINGS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, USTUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF DATA OR PROFITS, ARISING FROM LABS OFFERINGS, AND USTUDIO’S TOTAL LIABILITY RELATED TO LABS OFFERINGS WILL NOT EXCEED US $100.

8. General

uStudio may update these terms by posting a revised version; continued use means you accept the changes. These terms are governed by Texas law, with exclusive venue in Travis County, Texas. Sections 3, 4, 5, and 7 survive after your participation ends.
